A U.S. SPV may need its own LEI when it is a separately constituted legal entity and is the actual issuer, account holder, transaction counterparty or reporting entity. The sponsor’s or parent company’s LEI does not automatically identify the SPV. Not every SPV needs an LEI solely because it has been formed.
An SPV may need an LEI when the SPV itself enters a reportable financial transaction, issues an instrument requiring separate entity identification, opens an institutional account or is requested to provide an LEI by a bank, broker, administrator or counterparty. Use the SPV’s own LEI when the SPV is the legal entity being identified.
Search the SPV’s exact legal name before applying. Confirm its formation jurisdiction, registry number, registered address and the applicant’s authority to act. Newly formed SPVs or entities whose registry information is not yet publicly available may require additional formation or authority documents.
Prepare the SPV’s exact legal name, legal form, formation state, registry identifier, registered address and authorized applicant details. Depending on the structure, TNV-LEI may also require formation documents, a trust or operating agreement and applicable parent-relationship information.
Search the SPV before applying. If an LEI already exists, renew, transfer or update the existing record instead of creating a duplicate code.
